Referral Partner Agreement

This Referral Partner Agreement (the “Agreement”) is between DentalPresence, the operator of DentalPresence.in (“DentalPresence,” “we,” “us,” or “our”), and the individual or entity accepting it (“Partner,” “you,” or “your”).

By applying to the Program through Lemon Squeezy Affiliate Hub or by participating in it, you confirm that you have read, understood, and agree to this Agreement. If you accept for a business or other entity, you represent that you have authority to bind that entity. If you do not agree, do not apply for or participate in the Program.

This Agreement applies in addition to our Terms of Service and Privacy Policy. This Agreement controls if there is a conflict specifically about the Referral Partner Program.

Your use of Lemon Squeezy Affiliate Hub, tracking, referral, tax, and payout services is also subject to Lemon Squeezy’s separate Affiliate Terms, privacy policy, onboarding requirements, rules of engagement, and other provider terms shown to you. This Agreement does not replace or amend those provider terms. This Agreement governs your relationship with DentalPresence; Lemon Squeezy’s terms govern your relationship with Lemon Squeezy and its services.

You must be legally able to enter a binding contract, provide accurate and current registration information, maintain the same valid email address in DentalPresence and Lemon Squeezy, pass Lemon Squeezy’s affiliate vetting, apply to and be accepted into the DentalPresence program in Affiliate Hub, accept the provider terms presented to you, complete required tax and payout onboarding, and comply with applicable law. You are responsible for your credentials and all activity through both accounts.

Referral partner accounts are separate from DentalPresence customer and administrator accounts. An existing customer or administrator identity cannot be converted into a referral partner account. You may maintain only the accounts that DentalPresence authorizes and may not create accounts to evade a suspension, rejection, or other program control.

Registration does not create a guaranteed right to participate. Lemon Squeezy first vets affiliates before they can apply to a merchant program, and DentalPresence may separately review, accept, or reject a program application. Either company may request reasonable documentation needed for legal, tax, fraud-prevention, or payment obligations. Your account must remain approved and active in both systems.

You participate as an independent contractor. Nothing in this Agreement creates employment, agency, franchise, partnership, joint venture, fiduciary, or exclusive relationship. You have no authority to bind DentalPresence, make commitments on our behalf, negotiate our prices or terms, collect customer payments, or represent that you are our employee or agent.

You control how and when you conduct lawful referral activity and are responsible for your own costs, tools, insurance, registrations, permissions, and taxes. You are not entitled to employee benefits, reimbursement, minimum compensation, or a guaranteed volume of referrals.

Lemon Squeezy provides your unique affiliate URL. A prospect must follow that valid link and purchase an eligible product within the tracking period configured for the program, currently 30 days. Lemon Squeezy creates an anonymous identifier for the visit and is authoritative for commission attribution, referral status, and its applicable attribution model.

DentalPresence maintains a separate signed first-party attribution and fraud-prevention trail where available. We compare Lemon Squeezy affiliate IDs with known identities, customer accounts, organization memberships, and first-party records. Browser settings, device changes, consent choices, deleted storage or identifiers, network conditions, or other technical limitations may affect tracking. We do not manually assign a commission merely because a prospect later reports that you referred them.

Existing customers, previously attributed customers, self-referrals, duplicate or fabricated identities, and activity that violates this Agreement are not eligible. Customer referral benefits for Practice Essentials subscribers are a separate program and do not create partner commission unless a valid partner attribution independently exists.

The current default gross commission rate is 12% of the eligible DentalPresence subscription product price recorded by Lemon Squeezy, excluding tax. Practice Essentials, Practice Growth, Multi-location, and Agency subscription products may qualify; the customer referral-month benefit remains limited to Practice Essentials. “Gross commission” means before Lemon Squeezy’s affiliate fee, payout-provider charges, currency-conversion costs, required withholding, refunds, and other provider adjustments. The rate, product eligibility, and amount shown for a particular referral in Affiliate Hub control if they differ from a general statement on a DentalPresence page.

Lemon Squeezy’s current documentation states that it deducts 2% of the commission for each referral. That provider fee and any bank, PayPal, processing, or currency charges reduce the net amount you receive and may change under Lemon Squeezy’s terms. Review the current affiliate fee documentation before participating.

No commission is earned merely for clicks, leads, account creation, trial activity, failed payments, invoices, taxes, free or waived service, non-eligible products, or unpaid amounts. Commission can recur only while the attributed customer continues making eligible subscription payments. Lemon Squeezy Affiliate Hub is the authoritative statement of accepted, in-review, pending, paid, rejected, or void referrals, gross commission, fees, net earnings, and payouts. DentalPresence maintains a supplementary first-party safeguard record; it is not a second commission ledger.

Lemon Squeezy currently holds referral commissions for 30 days before they become available for payout. A referral initially appears as accepted, may be placed in review or rejected, becomes pending when assigned to a payout, becomes paid after settlement, and becomes void when its order is refunded. The settings and status in Affiliate Hub control.

If a payment is partially refunded, the eligible base and commission are reduced accordingly. If a payment is fully refunded, reversed, disputed, charged back, fraudulent, or otherwise ineligible, the commission may be cancelled or reversed. We may correct duplicate or mistaken entries, apply adjustments confirmed by Lemon Squeezy, and retain a history of those changes.

If an ineligible amount has already been paid, Lemon Squeezy or DentalPresence may use a provider-supported adjustment, deduct it from future earnings where permitted, or request repayment, subject to applicable law and provider rules. DentalPresence will preserve its audit record of the reason.

Lemon Squeezy administers payouts from accepted referrals, collects your payout destination, and offers bank or PayPal payout methods where available for your country. DentalPresence does not collect or store a separate bank or PayPal payout identifier.

Lemon Squeezy’s current documentation states that eligible commissions are held for 30 days; payouts are created on the 1st and 15th and are generally paid on the 14th and 28th; payouts are made in USD; and a program minimum applies. Timing is not guaranteed and depends on verification, referral status, fraud or dispute review, payment-method and country availability, compliance checks, thresholds, and provider processing. Review the current affiliate payout documentation. A payout is complete only when Lemon Squeezy records it as paid.

You are responsible for determining, reporting, and paying taxes, duties, registrations, and similar obligations arising from your participation or earnings. Lemon Squeezy currently requires non-US affiliates to complete the applicable Form W-8 and US affiliates to complete Form W-9. Lemon Squeezy may request additional identity or tax documentation, withhold amounts where legally required, or disable or pause payouts until required information is complete.

You must describe DentalPresence and the Program accurately, use current materials, and make only claims that can be substantiated. You must clearly and prominently disclose your financial relationship with DentalPresence wherever that relationship could affect the weight or credibility of your recommendation.

For social, video, email, messaging, or other promotional content, use an unambiguous disclosure appropriate to the channel—such as “Ad,” “Advertisement,” “Sponsored,” “Affiliate,” or “Paid partnership”—and place it where an ordinary viewer will notice it before or with the promotional claim. A disclosure hidden after “more,” buried among hashtags, or stated only on a profile page is not sufficient.

You must comply with applicable advertising, endorsement, consumer-protection, privacy, anti-spam, professional, platform, and Lemon Squeezy affiliate rules. Use official creatives and copy where provided, and obtain any written pre-approval required by DentalPresence or Lemon Squeezy before using a marketing method or asset. You must immediately stop any marketing activity that DentalPresence or Lemon Squeezy identifies as non-compliant while it is reviewed. You may not promise search rankings, patient growth, revenue, commissions, or results or imply that DentalPresence provides clinical care, medical advice, legal advice, or guaranteed business outcomes.

You must not:

• refer yourself, create fictitious prospects, impersonate another person, or submit false or misleading information;
• use spam, purchased contact lists without lawful permission, unlawful automated messages, deceptive redirects, forced clicks, cookie stuffing, adware, malware, or attribution manipulation;
• conduct telemarketing, cold calling, robocalling, or other telephone marketing for the Program;
• use a sub-affiliate, outsourced referral network, or other third-party referral service without prior written approval from both DentalPresence and Lemon Squeezy and a written agreement binding that party to all applicable rules; you remain responsible for every approved sub-affiliate;
• bid on DentalPresence names, misspellings, domains, or branded search terms in paid advertising without written permission;
• register or use domains, accounts, handles, or pages that could be mistaken for an official DentalPresence property;
• claim to be Lemon Squeezy or its agent, use Lemon Squeezy branding without permission, or make claims about Lemon Squeezy products or services that it has not approved or published;
• offer unauthorized discounts, rebates, rewards, cash sharing, guarantees, or contract terms;
• publish fake reviews, fabricated testimonials, undisclosed endorsements, disparaging falsehoods, or misleading comparisons;
• target or collect patient information, protected health information, medical records, or other regulated health data;
• interfere with the Program, bypass controls, access another account, or attempt to reverse engineer referral tracking; or
• violate law, third-party rights, platform rules, or this Agreement.

DentalPresence and its licensors retain all rights in the Service, Program, names, logos, software, content, and materials. While your account is active and compliant, we grant you a limited, revocable, non-exclusive, non-transferable right to use partner materials we provide solely to make authorized referrals.

You may not alter a logo, imply ownership or endorsement beyond this Program, sublicense materials, create confusingly similar branding, or use our intellectual property in a company name, product name, domain, username, paid-search keyword, or mobile application without prior written permission. You must stop using our materials when participation ends or when we request.

If you provide feedback about the Program, you permit us to use it without restriction or compensation, but we will not publicly identify you as its source without permission.

Program records available to you — in Lemon Squeezy Affiliate Hub or in information we share with you — may include privacy-masked customer information and financial records relating to your referrals. You may use that information only to understand and administer your participation. You must not attempt to re-identify a customer, combine masked information with external data, contact a customer based on Program records, or disclose non-public Program information.

You are independently responsible for personal information you collect through your own marketing. Do not collect information on our behalf unless we expressly authorize it in writing. Maintain reasonable safeguards and comply with applicable data-protection and privacy law.

Our handling of your registration, account, tracking, and fraud-prevention information is described in our Privacy Policy. Lemon Squeezy separately processes affiliate, tracking, tax, commission, customer-referral, and payout information under its terms and privacy policy. We may retain audit, attribution, identity-fingerprint, and provider-event records where reasonably necessary for legal, accounting, security, fraud-prevention, and agreement-enforcement purposes.

You may stop participating at any time by contacting us and completing any provider steps required to leave the program. We may reject, suspend, restrict, or terminate participation if we reasonably believe you breached this Agreement or provider terms, created legal or security risk, engaged in fraud or misleading promotion, failed verification, caused abnormal complaints or payment risk, or could harm customers, DentalPresence, Lemon Squeezy, or the Program. Lemon Squeezy may independently suspend or terminate your provider account or participation under its terms; loss of an active provider account makes you ineligible for this Program.

During a review, DentalPresence may place or instruct an administrator to place the corresponding Lemon Squeezy referral in review, and Lemon Squeezy may hold the related payout. On termination, you must stop presenting yourself as a partner and stop using referral links and brand materials. Valid referrals arising from eligible payments recorded before termination remain subject to refund, fraud, compliance, provider, and reconciliation review. No commission accrues from activity produced through prohibited conduct or after your authorization ends.

Provisions that by their nature should survive—including payment adjustments, taxes, intellectual property, confidentiality, privacy, disclaimers, liability, indemnity, dispute terms, and record retention—continue after termination.

The Program, referral links, and related materials are provided “as is” and “as available” to the maximum extent permitted by law. We do not guarantee uninterrupted tracking, identifier or first-party attribution persistence, account approval, prospect conversion, subscription continuation, commission volume, payout timing, or any level of income.

Any examples, projections, Affiliate Hub metrics, or descriptions of potential recurring commission are illustrative and not promises. Your results depend on factors including your conduct, audience, customer decisions, payments, cancellations, refunds, market conditions, and compliance.

Lemon Squeezy is an independent provider. DentalPresence does not control or warrant Affiliate Hub availability, provider approval decisions, tracking technology, fees, tax treatment, payment methods, processing times, or continued provision of affiliate services.

To the maximum extent permitted by law, we disclaim implied warranties, including merchantability, fitness for a particular purpose, non-infringement, and warranties arising from course of dealing.

To the maximum extent permitted by law, neither party will be liable under this Agreement for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or opportunities, even if advised that such loss was possible.

To the maximum extent permitted by law, DentalPresence’s aggregate liability relating to the Program will not exceed the commission paid or payable to you during the six months immediately before the event giving rise to the claim. These limits do not apply where liability cannot legally be excluded or limited.

You will defend, indemnify, and hold harmless DentalPresence and its personnel from third-party claims, losses, penalties, liabilities, and reasonable costs arising from your marketing, breach of this Agreement, violation of law, infringement of rights, misuse of personal information, or unauthorized promises. This obligation does not apply to the extent a claim was caused by DentalPresence’s own unlawful conduct.

We may change program features, Lemon Squeezy commission settings, attribution or review windows, eligibility rules, payout methods, or this Agreement. Operational changes may take effect prospectively when posted. If an agreement change is material, we will provide reasonable notice and may require you to accept the updated Agreement before continuing.

Lemon Squeezy may change its separate terms, rules, fees, tracking, or payout services under its own notice and acceptance process. Its provider records and rules govern the applicable rate and payout treatment of each referral. Continuing to use the Program after an updated DentalPresence agreement takes effect constitutes acceptance where permitted by law. If you do not agree to either company’s applicable terms, you must stop participating.

This Agreement, together with the incorporated policies, is the entire agreement about the Program and replaces prior discussions or statements on that subject. You may not assign or transfer it without our written consent. We may assign it as part of a reorganization, financing, merger, acquisition, or transfer of the Program or related business.

If a provision is unenforceable, it will be enforced to the maximum lawful extent and the remaining provisions stay effective. A failure to enforce a provision is not a waiver. Headings are for convenience only. Notices may be delivered through your registered email or a posting where permitted by law.

This Agreement and your relationship with DentalPresence are governed by the laws of India, without regard to conflict-of-laws principles. This choice does not alter the governing law, venue, or dispute terms in your separate agreement with Lemon Squeezy. Courts having competent jurisdiction under applicable law may hear disputes arising from this Agreement. Before filing a claim, each party will make a good-faith effort for 30 days to resolve it through written notice, unless urgent injunctive relief is reasonably needed.
